U.S. Federal Contracting: Fixed-Price Default

A major focus in U.S. contract law recently has been the implementation of an Executive Order aimed at reforming federal procurement. The order establishes fixed-price contracts with performance-based considerations as the default method for federal agencies. Agencies must now provide written justification for non-fixed-price contracts.

Canada: Enforceability of Restrictive Covenants

In Canada, a recent court ruling provided guidance on drafting non-solicitation clauses in M&A transactions. The court emphasized that for such clauses to be enforceable, their scope must be ascertainable and limited to a “reasonably knowable group of people” to avoid being struck down for ambiguity.

So What for SMEs? If you are an SME competing for U.S. federal contracts, prepare for a shift toward fixed-price models, which place more risk on the contractor but offer clarity. In Canada, if you are involved in M&A or drafting non-compete/non-solicitation clauses, ensure they are highly specific. Vague clauses will not hold up in court.


🌐 International Trade: U.S.-China Summit Concludes

President Trump concluded a two-day visit to Beijing today. While both leaders claimed progress in stabilizing relations, President Trump stated that tariffs were not discussed during his meetings with President Xi. However, China did agree to purchase 200 Boeing jets as part of new trade agreements.

So What for SMEs? The lack of discussion on tariffs means that the current tariff landscape remains unchanged for now. SMEs should continue to maintain flexible supply chains and factor existing tariffs into their long-term planning, as immediate relief is not on the horizon.


In the tech space, Legal Web Design announced a digital intelligence platform focused on “Answer Engine Optimization” (AEO) and “Generative Engine Optimization” (GEO). This tool helps law firms understand and improve their visibility within AI-generated search results.

So What for SMEs? As more people use AI tools (like ChatGPT or Claude) to search for information and services, traditional SEO is evolving into GEO. SMEs need to ensure their business information and content are structured so that AI engines can easily find and recommend them.
